Terms of use (draft)

These are draft platform terms, version 2026-01-draft, published while the operating structure is under review. They may change before any live introduction routing or fee arrangement is enabled.

Blue Hat Founders is a PRIMA company operating an analytical matching platform. Founders publish structured company information to a controlled network. Investors describe an investment mandate and receive opportunities that pass it.

The platform is not a directory. It does not provide personal contact details, contact exports, an inbox or cold-messaging access.

It is not a broker-dealer, is not registered with the US Securities and Exchange Commission, and is not authorised by the UK Financial Conduct Authority.

It does not give investment advice, does not recommend securities, does not execute transactions, does not operate escrow and does not hold client money.

Nothing on the platform is an offer to sell or a solicitation to buy any security.

An introduction can begin only when an investor affirmatively requests a call. Founders cannot initiate contact with investors through the platform.

A founder may accept or decline any request and may propose availability. A confirmed introduction is a shared record visible to both parties.

Neither party can create, accept, confirm or complete a record on behalf of the other. Consent is recorded per participant and enforced on our server.

Live introduction routing between real accounts is gated until an approved regulated operating structure exists. Until then the full workflow can be exercised in the labelled demo with synthetic data.

You confirm you have the right to upload the material you submit and that it is accurate to the best of your knowledge.

Track-record claims, including prior exits, are self-reported until a human reviewer assesses your evidence. Displaying a claim is not verification of it.

Automated structuring can be wrong. You review and confirm the structured summary before anything is shared, and you remain responsible for the accuracy of your own profile.

Optional paid promotion places a qualified project into a separate, clearly labelled Sponsored placement.

Sponsorship does not change an organic match score, does not bypass any criterion, does not guarantee any outcome and is never an endorsement by Blue Hat Founders or PRIMA.

The promotion fee is not yet set. The platform accepts interest requests only and does not charge for promotion.

The basic founder listing and investor access are free.

A success fee of 5% of capital actually invested following a Blue Hat introduction is proposed only. Subject to jurisdiction, eligibility and an approved regulated structure.

Fee collection is disabled in the platform. No charging path exists in the product, and no claim is made that collecting such a fee today would be lawful.

You may not self-assign verified, eligible or administrative status. Those flags are set only by platform administrators and cannot be modified by a client.

Selecting your name from researched firm staff is a convenience for data entry and is never treated as authentication or proof of affiliation.

We may suspend access where information is materially inaccurate or where use is inconsistent with these terms.

The platform is provided as is while in draft operation. Matching is a ranking aid, not a prediction, and we do not publish any likelihood of investment.
